1. Services Provided

Brilliance Hub (“Provider”) agrees to deliver and integrate the Ring Builder Tool into the Client’s Shopify or WordPress website. The integration includes:

• Installation of Ring Builder with 10 pre-designed ring options
• Free integration with one diamond supplier’s live marketplace (natural or lab-grown)
• Ongoing maintenance and support limited to the Ring Builder tool

2. Payment Terms

Setup Fee

A one-time setup fee, based on the selected subscription plan, is payable upon execution of this Agreement.

Monthly Subscription Fee

Client agrees to pay monthly subsciption fee based on the selected subscription plan billed monthly in advance.

• The first month’s fee is due along with the setup fee.
• Subsequent monthly payments will be due on the same day of each month.

Additional Costs (If Applicable)

Client may request add-ons (e.g., additional ring designs, extra supplier integrations, WooCommerce support) which will be quoted and invoiced separately.

3. Contract Term & Termination

• This Agreement is effective from the date of signing and continues on a month-to-month basis.
• There is no lock-in period. The Client may cancel the subscription at any time by providing 7 days’ written notice before the next billing cycle.
• Any prepaid fees are non-refundable, and the subscription will remain active until the end of the paid period.

Brilliance Hub reserves the right to suspend or terminate the service immediately if:

• Payments are not received by the due date
• The tool is used for unauthorized, unlawful, or unethical activities
• The Client breaches any material term of this agreement

4. Ownership & License

• Brilliance Hub retains full intellectual property rights to the Ring Builder software and its components.
• The Client is granted a non-exclusive, non-transferable license to use the Ring Builder tool for one website during the active subscription period.
• All inbuilt ring designs, setting images, and associated visual assets provided as part of the subscription are complimentary for use only while the subscription is active.
• Upon cancellation or non-renewal of the subscription, the Client must discontinue use of all complimentary inbuilt ring setting images and remove them from their website and marketing materials.
• Sub-licensing, reselling, or duplicating any part of the tool, design assets, or code is strictly prohibited.

5. Diamond Marketplace Integration

• The free integration offer includes one supplier only (either natural or lab-grown).
• Additional supplier integrations will incur extra costs, which will be quoted separately.
• Brilliance Hub does not guarantee the accuracy or availability of third-party diamond data and is not responsible for any issues arising from supplier-side systems.

6. Manufacturing Services

If the Client wishes to place orders for manufacturing the rings displayed via the Ring Builder, Brilliance Hub can provide CAD, casting, and finishing services.
Separate quotations and delivery timelines will be provided for each order.

7. Limitation of Liability

• Brilliance Hub shall not be held liable for any indirect, incidental, or consequential damages related to this service.
• Total liability is limited to the total amount paid by the Client in the 3 months prior to any claim.

8. Confidentiality

Both parties agree to keep all business and technical information confidential and not to disclose it to any third party without prior written consent.

9. Governing Law

This Agreement shall be governed by and construed in accordance with the laws of Australia and New Zealand.

In the event of a dispute:

• If the Client is based in Australia, the laws of the State or Territory in which the Provider is registered shall apply.
• If the Client is based in New Zealand, the laws of New Zealand shall apply.

Each party agrees to submit to the non-exclusive jurisdiction of the courts of the applicable country, as determined by the Client’s location.

10. License Scope

• This subscription and license are valid for one (1) website domain only (e.g., yourstorename.com).
• If the Client wishes to use the Ring Builder on additional websites or domains, a separate subscription and setup fee will be required for each.
• Sub-licensing, reselling, or sharing the Ring Builder tool with third parties is strictly prohibited.
